Terms of Service

You certify that you are at least 16 years of age. The Services may only be accessed through an electronic device you control. A valid ExisJS account may be created and maintained only with accurate signup information, and you are responsible for maintaining the confidentiality of your account's login credentials.

The core ExisJS framework is provided under an open-source license (such as the MIT License). Your use, modification, and distribution of the open-source software is governed solely by that license.

For our hosted services, community forums, or related platforms, ExisJS grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited license to use the Services for your internal business or personal purposes, subject to your compliance with this Agreement.

You are solely responsible for all software, code, data, information, feedback, text, and other materials you submit to our community forums, hosted repositories, or related platforms ("Your Content"). ExisJS may access your account to respond to your requests for technical support.

By submitting Your Content, you grant ExisJS a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, copy, modify, reproduce, distribute, display, and create derivative works of Your Content solely to provide and improve the Services and the open-source ecosystem.

We may remove or disable Your Content at any time, including in response to a third-party claim, or if it violates community guidelines.

You are responsible for configuring Your Content so that its transmission, storage, or use does not expose personal data without proper consent. ExisJS is not liable for unauthorized access to or use of Your Content that results from your configuration.

Compliance: You may not use the hosted Services to process highly sensitive data (like Protected Health Information) unless you first obtain ExisJS's prior written approval.

ExisJS processes personal information contained in Your Content, Account Information, and System Data as a data controller or data processor, as applicable, in accordance with our Data Processing Addendum and Privacy Notice.

ExisJS maintains reasonable information security policies and processes designed to prevent unauthorized access, use, or disclosure of the Services.

You will not, directly or indirectly:

• sublicense, resell, rent, lease, transfer, assign, or otherwise commercially exploit the hosted Services;
• reverse engineer, decompile, or disassemble the hosted Services;
• modify, translate, or create derivative works based on the hosted Services; or
• use the hosted Services for timesharing or service-bureau purposes.

This Agreement remains in effect while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services if you breach this Agreement, if required by law, or if we discontinue the Services, with notice where reasonably practicable. Sections of this Agreement that by their nature should survive termination — including Your Content licenses, Disclaimer, Limitation of Liability, and Governing Law — will survive.

The Services and support services are provided "as is," and ExisJS disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Except for your breach of the usage restrictions, neither party nor its suppliers will be liable for error or interruption of use, loss, inaccuracy, or corruption of data, or for any indirect, special, exemplary, incidental, consequential, or punitive damages arising from this Agreement.

This Agreement is governed by the laws of India, without regard to its conflict-of-laws provisions, and the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any matter not required to be arbitrated under this section.

You and ExisJS agree that any dispute, controversy, or claim arising out of or relating to this Agreement (a "Claim") will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, and any amendments to it. The arbitration will be conducted in English by a sole arbitrator appointed by mutual agreement of the parties, or failing such agreement, in accordance with the Act. The seat and venue of arbitration will be Bengaluru, Karnataka, and the award rendered will be final and binding on both parties.

Waiver of right to bring representative or class claims: to the fullest extent permitted by applicable law, you and ExisJS each agree that any proceeding to resolve a Claim under this Agreement will be conducted only on an individual basis, and not as a claimant or member in any purported class, consolidated, or representative proceeding.

We may update this Agreement from time to time to reflect changes to our Services, business practices, or applicable law. If we make material changes, we will update the effective date above and, where required, provide additional notice. Continued use of the Services after an update constitutes acceptance of the revised Agreement.

• Entire agreement — this Agreement, together with any referenced policies, constitutes the entire agreement between you and ExisJS regarding the Services.
• Severability — if any provision is found unenforceable, the remaining provisions remain in full effect.
• Assignment — you may not assign this Agreement without our consent; ExisJS may assign it in connection with a merger, acquisition, or sale of assets.
• No waiver — our failure to enforce a provision is not a waiver of our right to do so later.
